Growth Membership Agreement

1. Agreement Overview

This Growth Membership Agreement ("Agreement") is entered into between 1Commerce.com ("Platform") and the Member ("You" or "Member"). By subscribing to the Growth tier, you agree to be bound by the terms and conditions outlined herein.

2. Membership Benefits

As a Growth member, you are entitled to enhanced benefits including:

• Enhanced company profile with premium visibility
• Up to 100 product listings with rich media support
• Advanced analytics and market insights
• Priority email and chat support
• Access to exclusive trade events and networking opportunities
• Lead generation and buyer matching services
• Custom company storefront
• Featured placement in search results

3. Membership Term

The Growth membership is available on monthly or annual subscription basis. Annual subscriptions include a discount. The membership term begins on the date of successful payment and continues for the selected period unless terminated in accordance with this Agreement.

4. Payment Terms

Membership fees are due at the beginning of each billing cycle. All payments are processed securely through our payment partners. Growth tier pricing is subject to change with 30 days advance notice. Failure to pay may result in downgrade to Starter tier or suspension of membership benefits.

5. Member Obligations

As a Growth member, you agree to:

• Provide accurate and truthful information in your profile and listings
• Comply with all applicable laws and trade regulations
• Adhere to the 1Commerce Code of Ethics
• Respond to buyer inquiries within 48 hours
• Maintain high-quality product information and images
• Not engage in fraudulent or deceptive practices
• Maintain the confidentiality of your account credentials

6. Upgrade and Downgrade

You may upgrade to Enterprise tier at any time, with prorated billing applied. Downgrade to Starter tier will take effect at the end of the current billing period. Upon downgrade, access to Growth-exclusive features will be revoked.

7. Cancellation and Refunds

You may cancel your Growth membership at any time through your account settings. Cancellation will take effect at the end of the current billing period. Refunds are provided on a prorated basis for annual subscriptions cancelled within the first 30 days.

8. Limitation of Liability

1Commerce shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or membership benefits. Our total liability shall not exceed the amount paid for your membership in the preceding 12 months.

9. Modifications to Agreement

1Commerce reserves the right to modify this Agreement at any time. Members will be notified of any material changes via email at least 30 days in advance. Continued use of the platform after such notification constitutes acceptance of the modified terms.
