    Enterprise Membership Agreement

    Terms and conditions for Enterprise membership tier

    1. Agreement Overview

    This Enterprise Membership Agreement ("Agreement") is entered into between 1Commerce.com ("Platform") and the Enterprise Member ("You," "Member," or "Organization"). By subscribing to the Enterprise tier, you agree to be bound by the terms and conditions outlined herein, which supersede any prior agreements.

    2. Membership Benefits

    As an Enterprise member, your organization is entitled to comprehensive benefits including:

    • Unlimited product listings with advanced categorization
    • Premium company profile with maximum visibility
    • Dedicated account manager and priority support (24/7)
    • Custom API integrations and data feeds
    • Advanced analytics, reporting, and business intelligence tools
    • Multi-user accounts with role-based permissions
    • White-label solutions and custom branding options
    • Priority placement in all search results and directories
    • Exclusive access to enterprise trade events and networking
    • Custom training and onboarding for your team
    • Trade finance and logistics partnership programs

    3. Membership Term

    The Enterprise membership is typically structured as an annual or multi-year agreement. Custom terms may be negotiated based on organizational needs. The membership term begins on the date specified in your service order and continues for the contracted period unless terminated in accordance with this Agreement.

    4. Payment Terms

    Enterprise membership fees are invoiced according to the payment schedule specified in your service order. Payment terms are Net 30 unless otherwise agreed. Late payments may incur interest charges. Custom payment arrangements, including quarterly or milestone-based billing, are available upon request.

    5. Service Level Agreement (SLA)

    Enterprise members are covered by our enhanced Service Level Agreement:

    • 99.9% platform uptime guarantee
    • 4-hour response time for critical issues
    • 24-hour response time for standard inquiries
    • Quarterly business reviews with your account team
    • Priority access to new features and beta programs

    6. Member Obligations

    As an Enterprise member, your organization agrees to:

    • Designate an authorized representative for account management
    • Provide accurate and truthful information in all profiles and listings
    • Comply with all applicable international trade laws and regulations
    • Adhere to the 1Commerce Code of Ethics
    • Maintain appropriate internal controls for multi-user access
    • Respond to buyer inquiries within 24 hours
    • Participate in quarterly business reviews
    • Not engage in fraudulent or deceptive practices

    7. Confidentiality

    Both parties agree to maintain the confidentiality of proprietary information shared during the course of the membership. This includes business data, pricing information, trade secrets, and any other information marked as confidential. This obligation survives termination of the Agreement.

    8. Data Protection and Privacy

    Enterprise members benefit from enhanced data protection measures including dedicated data processing agreements, GDPR compliance support, and custom data retention policies. Data ownership remains with the member, and 1Commerce acts as a data processor in accordance with applicable privacy laws.

    9. Termination

    Either party may terminate this Agreement with 90 days written notice. Early termination fees may apply for multi-year agreements. Upon termination, 1Commerce will provide data export assistance and a 30-day transition period.

    10. Limitation of Liability

    1Commerce shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or membership benefits. Our total liability shall not exceed the amount paid for your membership in the preceding 12 months, unless otherwise specified in a separate service order.

    11. Modifications to Agreement

    1Commerce reserves the right to modify this Agreement at any time. Enterprise members will be notified of any material changes via email and through their dedicated account manager at least 60 days in advance. Continued use of the platform after such notification constitutes acceptance of the modified terms.
